Term 3 years from 1 January 2026, automatic annual renewal. Termination on 6 months' notice. Early exit charge: the remaining fees for the current year. Jurisdiction: the courts of England and Wales. Assignment of the contract: prohibited without the written consent of Kestrel Software Ltd.

CONTRACT B - Lease of the warehouse, client Garnet Trading Ltd with Eastgate Property Ltd
Term 6 years from 1 July 2024, renewed for a further 6 years unless notice is given. The tenant may break the lease for serious reasons on 6 months' notice. No early exit charge. The contract does not state which courts have jurisdiction.

CONTRACT C - Exclusive distribution, client Garnet Trading Ltd with Dunmore Brands Ltd
Term 5 years from 1 March 2025. Termination for material breach. Liquidated damages for breach of exclusivity: £50,000. Jurisdiction: the courts of Scotland. Clause 11.3: if control of Garnet Trading Ltd changes, Dunmore Brands Ltd may terminate the contract with immediate effect.
